Terms of Use

Our products include CRIMR and the Detective Analytics Platform.

In Plain English

These Terms of Use govern your use of detectiveanalytics.com and other Detective Analytics websites that link to them. They do not govern use of our products, which are offered under separate written agreements with customers — those agreements control. By using the website, you agree to these Terms. If you do not agree, please do not use the website.

 

1. Scope and Acceptance

These Terms of Use (“Terms”) are a binding agreement between you and Detective Analytics LLC, a New Jersey limited liability company headquartered in Toms River, New Jersey (“Detective Analytics,” “we,” “us,” or “our”).

These Terms apply to your use of detectiveanalytics.com and any other website, microsite, landing page, or online property we operate that links to these Terms (collectively, the “Site”). They do not apply to your use of any Detective Analytics product offered under a separate written agreement (a “Customer Agreement”). If there is any conflict between these Terms and a Customer Agreement, the Customer Agreement controls with respect to the products and services it covers.

By accessing or using the Site, you accept these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to accept these Terms on the organization's behalf.

2. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Site after we post an updated version means you accept the change. If you do not agree to a change, please stop using the Site.

3. Intellectual Property

The Site and its contents — including text, graphics, logos, images, video, software, look and feel, page layout, and the selection, arrangement, and coordination of all content — are owned by Detective Analytics or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited license. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and to print or download a reasonable number of pages for your own internal evaluation of our products and services. All other uses are prohibited without our prior written permission.

Trademarks. “Detective Analytics,” “CRIMR,” “Detective Analytics Platform,” and our logos are trademarks of Detective Analytics LLC. You may not use them without our prior written permission, except in factual references that comply with applicable trademark fair-use principles.

Patents. Detective Analytics owns U.S. Patent No. 11,651,461 and other issued and pending patents. Nothing on the Site grants you any license under any Detective Analytics patent, whether by implication, estoppel, or otherwise.

Feedback. If you send us comments, suggestions, ideas, or other feedback about the Site or our products, you agree we may use that feedback for any purpose without obligation or compensation to you.

4. Acceptable Use

When using the Site, you agree to comply with all applicable laws and these Terms. You agree that you will not, and will not attempt to:

•       use the Site for any unlawful, fraudulent, deceptive, or harmful purpose;

•       interfere with, disrupt, degrade, or place an unreasonable load on the Site or its underlying infrastructure;

•       attempt to access any account, system, or data not intended for you, or probe, scan, or test the Site's security or vulnerabilities without our prior written consent;

•       upload, transmit, or distribute any malware, virus, worm, or other code designed to damage, disable, or compromise software or hardware;

•       use automated tools (including bots, crawlers, scrapers, or AI agents) to access, copy, harvest, or extract content from the Site, except for legitimate search engine indexing in accordance with our robots.txt file;

•       frame, mirror, or otherwise reproduce the Site or its content in a way that obscures or alters its origin or our branding;

•       misrepresent your identity or affiliation, or impersonate any person or organization in your interactions with the Site or with us;

•       submit information that is false, misleading, defamatory, harassing, threatening, infringing, or that you do not have the right to submit; or

•       use the Site or any content obtained through the Site to develop a competing product or to train a machine learning model.

5. Submissions and Communications

If you submit information through a contact form, demo request, support request, email, or other channel on the Site, you represent that the information is accurate, that you have the right to submit it, and that submitting it does not violate any law or third-party right. We treat personal information you submit in accordance with our Privacy Notice. We may use non-personal content of submissions (for example, business questions, problem descriptions, and product feedback) to operate, improve, and market our products.

6. Customer Platform Use

These Terms do not authorize you to use any Detective Analytics product. Access to our products requires a Customer Agreement and authorized credentials. Unauthorized access to, or use of, our products is prohibited and may violate civil and criminal law, including the Computer Fraud and Abuse Act.

7. Third-Party Websites and Resources

The Site may contain links to websites, services, and resources operated by other parties. We provide those links for convenience only. We do not control, endorse, or assume responsibility for those third-party sites. Your use of any third-party site is at your own risk and subject to the terms and privacy practices of that site.

8. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DETECTIVE ANALYTICS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT. INFORMATION ON THE SITE IS GENERAL IN NATURE AND IS NOT LEGAL, FINANCIAL, INVESTIGATIVE, OR PROFESSIONAL ADVICE. YOU SHOULD NOT RELY ON THE SITE AS THE BASIS FOR ANY OPERATIONAL DECISION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DETECTIVE ANALYTICS, ITS AFFILIATES, OR ITS OR THEIR OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND APPLIES NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, IN WHICH CASE THIS SECTION APPLIES TO THE MAXIMUM EXTENT PERMITTED.

10. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Detective Analytics and its affiliates and their respective officers, members, employees, agents, and licensors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) any content you submit through the Site; or (d) your violation of any law or third-party right.

11. Termination and Suspension

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 3 (Intellectual Property), 5 (Submissions), 6 (Customer Platform Use), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law and Venue), and 13 (Miscellaneous).

12. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. Any action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Middlesex County, New Jersey, and you consent to the personal jurisdiction and venue of those courts. Any cause of action arising out of or related to these Terms or the Site must be commenced within one (1) year after the cause of action accrues or be permanently barred.

13. Miscellaneous

Entire agreement. These Terms, together with the Privacy Notice and any Customer Agreement (if applicable), are the entire agreement between you and Detective Analytics regarding the Site and supersede any prior or contemporaneous communications on the same subject.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or to an affiliate.

No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Detective Analytics.

Notices. We may give notices to you by email, by posting to the Site, or by any other reasonable means. You must give notices to us as set out in Section 14.
